PRIVACY AGREEMENT

Between worxogo solutions pvt Ltd {hereinafter referred to as ‘worxogo’. worxogo owns the IP to the SaaS Persuasive Technology Platform developed by it  (hereinafter referred to as ‘Product’) }and Registered User with access to worxogo’s Product (hereinafter referred to as ‘You’ or ‘End-User’). ‘Customer’ refers to worxogo’s contracted client wherein End-User is part of the Client’s User Master.

1.        the End-User seeks a right to remotely access and use worxogo’s Product to avail certain services.

2.        In consideration of Customer paying worxogo the agreed fees, worxogo hereby grants the End-User (as part of the Customer’s User Master) a revocable, non-exclusive, non-transferable, limited right to use the Product.  

3.        The End-User acknowledges that ownership of and title in and to all Intellectual Property Rights in the Product and the Proprietary Information are and shall remain with worxogo. End-User shall not:

a.        Provide any third party (other than the named Users) with access to the Product; or

b.        Disassemble, decompile or unlock, reverse engineer, or in any manner decode Product for any reason; or

c.        Re-sell, grant any rights to third parties to the Products, lease, time-share, lend or rent Products; or

d.        Copy any features, functions or user interfaces/graphics of the Product; or

e.        Commit or permit the commission of any Abuse.

4.        While using worxogo Product, End-User may be asked to provide us with certain personally identifiable information that can be used to contact or identify End-User("Personal Data"). Personally identifiable information may include, but is not limited to:

a.        Email address

b.        First name and last name

c.        Phone number

d.        Cookies and Usage Data

5.        worxogo shall collect, store, analyse and use information related to the performance and usage of worxogo’s Product by the End-User. Such usage data is Proprietary Information of worxogo. 

6.        Any data related to End-User performance or commissions which are displayed in the Product, is received by worxogo from the Customer. All queries regarding such data are to be directed at the Customer.

7.        All Nudges received in the Product by End-User are suggestions. Taking action on Nudges is at the discretion of the End-user. The channel for such nudges may include Whatsapp.

8.        In no event shall worxogo be liable to the End-User, whether in contract, tort (including negligence) or otherwise for any loss of profits, business, contracts, or revenues, loss of operation time, increased costs or wasted expenditure, loss of goodwill or reputation of the other, its employees or any other person acting on their behalf, special, indirect, incidental punitive or consequential damage of any nature whatsoever or howsoever arising out of use of worxogo’s Product.

Your agreement implies consent.

This Agreement shall be governed by the laws of India and shall be subject to the exclusive jurisdiction of courts in Bangalore, India.
